Data Protection & Legal Counsel (Ecuador- Part-time)

En Kin Analytics buscamos un/a Delegado/a de Protección de Datos con formación en Derecho, que se integre a nuestro equipo como abogado/a in-house por horas.

Esta persona será responsable de liderar el cumplimiento de la Ley Orgánica de Protección de Datos Personales en Ecuador, coordinar la relación con nuestros proveedores de outsourcing legal, impulsar buenas prácticas de gobierno corporativo y diseñar/estandarizar frameworks legales comerciales, laborales y de protección de datos.

Además, brindará soporte legal operativo trabajando de cerca con las áreas de dirección, finanzas, people, tecnología y producto.

Responsabilidades clave:

A. Protección de datos & privacidad

  • Actuar como
    Delegado/a de Protección de Datos
    bajo la normativa ecuatoriana (LOPDP).
  • Diseñar, actualizar y supervisar el Programa de Cumplimiento en Protección de Datos (políticas, procedimientos, avisos de privacidad, consentimientos, cláusulas contractuales, etc.).
  • Mapear y documentar el ciclo de vida de los datos personales en la organización (recolección, uso, almacenamiento, transferencia y eliminación).
  • Coordinar y documentar
    Evaluaciones de Impacto de Protección de Datos
    (DPIA) cuando corresponda.
  • Gestionar y dar seguimiento a:
  • Solicitudes de titulares de datos (acceso, rectificación, cancelación, oposición, portabilidad, etc.).
  • Incidentes de seguridad de la información y posibles brechas de datos, en coordinación con tecnología/seguridad.
  • Asegurar que los contratos con clientes, proveedores y aliados incluyan cláusulas adecuadas de protección de datos y confidencialidad.
  • Capacitar al equipo interno en buenas prácticas de protección de datos y privacidad.

B. Relación con outsourcing legal & soporte in-house

  • Ser el punto de contacto y coordinador con los estudios o despachos legales externos.
  • Revisar, priorizar y filtrar los temas a escalar al outsourcing legal, optimizando tiempos y costos.
  • Brindar asesoría legal in-house por horas en temas contractuales, societarios, laborales y regulatorios básicos.
  • Preparar minutas, borradores contractuales y resúmenes ejecutivos para facilitar la toma de decisiones de la dirección.

C. Gobierno corporativo & gobernanza

  • Proponer e implementar políticas de gobierno corporativo (código de ética, conflictos de interés, manual de directorio, delegación de autoridad, etc.).
  • Apoyar en la formalización y documentación de decisiones de gobierno (actas de juntas, resoluciones, poderes, reformas estatutarias, etc.).
  • Colaborar en la definición y actualización de la estructura societaria y acuerdos entre socios/accionistas cuando aplique.
  • Alinear las prácticas de gobernanza con los objetivos estratégicos y/o estándares como B Corp, ESG u otros.

D. Marcos legales comerciales, laborales y operativos

  • Diseñar y mantener
    templates contractuales
    para:
  • Contratos comerciales (MSA, SOW, NDA, SLA, DPA, etc.).
  • Contratos con proveedores y aliados.
  • Contratos laborales, acuerdos de confidencialidad, propiedad intelectual y políticas internas clave.
  • Asegurar coherencia jurídica en políticas internas (RRHH, TI, compliance, uso de datos, trabajo remoto, etc.).
  • Brindar criterio legal en negociaciones comerciales (responsabilidad, límites de indemnización, IP, protección de datos, terminación, etc.).

E. Soporte legal operativo

  • Responder consultas legales del día a día de las distintas áreas.
  • Mantener un repositorio organizado de contratos, políticas, actas y documentación legal.
  • Monitorear cambios normativos relevantes (protección de datos, laboral, societario, tributario junto con contabilidad/finanzas) y proponer planes de implementación.
